Job Profile

Evolve and institutionalise Corporate Governance practices such as code of conduct, whistleblower policy, policy on prevention of insider trading etc. in accordance with Globally accepted practices
Periodically measure and report the the effectiveness of all Corporate Governance practices applicable to the Company (locally and globally)
Act as Risk Co-ordinator in Enterprise Risk Management programme by co-ordinating with various stakeholders in : (a) identification, prioritizing of risk at functional/business/company level; (b) drawing mitigation plan & monitoring of implementation; (c) maintaining risk register; and (d) convening meetings & maintaining minutes & all relevant documentation 
Track, report and monitor compliance wherever the company has business presence to ensure the business is conducted in accordance with local laws of such countries
Engage with Companys external advisors (Auditors, Consultants, Law firms etc.) so to understand all the Corporate Governance norms that are applicable to the Company (locally and globally) and develop an implementation plan in accordance with such developments
Engage with the senior management of the company so as to periodically update the recent development on Corporate Governance norms with-in and outside the Company
Engage with other functions within the Company HR, Finance, legal etc. so as to impart training to necessary Company staff w.r.t Corporate Governance and Risk Management practices
Participate & contribute in companys capital raising initiatives and cross-border transactions such as M & A

Deep understanding of governance and risk management practices and requirements
Demonstrate outstanding interpersonal skills, in order to interact with colleagues across functions and external advisors
Demonstrate excellent written and verbal communication skills, to present information to a variety of stakeholders 
Demonstrate leadership skills to understand the needs of the Organization in the areas under management and drive actions to implement them 
Acts as a Team Player - Collaborate and support colleagues and peers across the organization, while still being able to work independently when needed
Result Oriented Meet deadlines on assignments, juggle multiple demands and to work with all types of individuals including Companys top leadership. 
Strong analytical skills
Persistent and good negotiator
Tactful but assertive

Qualification / Experience:
Member of the Institute of Company Secretaries of India (ICSI) AND/OR Member of the Institute of Chartered Accountants of India (ICAI) with 7-10 years OF post-qualification experience. A degree in law will be an added advantage.
Proficiency in MS Office (Word, Excel, PowerPoint), Outlook, Oracle ERP accounting packages

Should have skills such as leadership, social and interpersonal skills.

The proposed role will be Reporting to Vice President Corporate Affairs
